MAYA CHAN online SHOP Sales Agreement
MAYA CHAN online shop (hereinafter referred to as “MAYA CHAN” or online shop” for brevity), operating directly under the auspices of RH TECHNO FOREST, INC., sells and/or re-sells pre-owned or second hand luxury leather products identified and listed on its website with the appropriate re-sale price indicated below each product under terms and conditions enumerated in succeeding portions of this sales agreement.
Article 1 (application)
This agreement aims to establish the rights and obligations for the purchase of our products that are posted on the MAYA CHAN online SHOP website between MAYA CHAN online SHOP and its member clients and/or patrons (hereinafter referred to as the “purchaser” alternatively). If there are separate and/or individual contracts between MAYA CHAN online SHOP and the purchaser that are separate from this agreement, the provisions of the individual contract shall supersede this agreement.
Please note that certain items or details are discussed, explained, or enumerated in a separate Terms of Service which applies with equal measure to this Sales Agreement and supplements the same. Thus, the purchaser or member is encouraged to read the Terms of Service in
conjunction with this Sales Agreement.
Article 2 (membership registration)
At MAYA CHAN online SHOP, we value the trust and confidence established between our online shop and its clients, patrons, and/or purchasers. To ensure the integrity and quality of the transaction and product purchases, we require registration and membership in our online shop prior to the utilization of our services and the purchase of its products. In doing so, members consent to the periodic issuances of notices, announcements, and promotional offerings from MAYA CHAN online shop.
Article 3 (identity verification)
In conducting a sale or transaction based on this Agreement, MAYA CHAN shall, at its discretion, verify the identity of the purchaser by a method separately specified by us based on the antiquity business law and the law on the prevention of revenue transfer. Verification of identity shall likewise be subject to a separate Terms of Service which comprehensively discuss, enumerate and/or elaborate certain provisions of this Sales Agreement. If we cannot verify your identity, we cannot accept this sales contract. If it is determined that we cannot accept the proposed or intended purchase of the product, such as when it is found that false content has been registered after member registration, we may contact you and cancel the registration.
Article 4 (establishment of sales contract)
At the time when the member selects a product from this site and confirms the order contents by the method specified by MAYA CHAN and online shop accepts this, a sales contract for the product shall be concluded between MAYA CHAN online SHOP and the member client, patron, and/or purchaser wishing to purchase. When the sales contract is concluded, the member will be notified of the details of the contract by sending a payment notice in electronic data or by other means. Please note that sales of products listed on our website shall, except in cases attributable to MAYA CHAN online SHOP as herein specified, be based on a “no return no exchange policy” which means that our online shop shall not accept returns for refund after the conclusion of a sale and delivery of the product.
Article 5 (Payment of Product Price)
MAYA CHAN accepts the following payment methods for the product/s chosen by the member client, patron, and/or buyer, detailed in a separate terms of service, and summarized herein, as follows –
For Japan Customers:
5.1. Payment of deposit to be made within 3 days of placement of order via Bank Transfer to Japan Net Bank. Transfer fees shall be paid by the customer. Shipping or delivery will be made upon confirmation of deposit payment.
5.2. COD (Cash on Delivery) upon delivery or receipt by the purchaser or customer of the product ordered. As in the previous instance, the delivery fee shall be paid by the purchaser/customer.
For Overseas Customers:
5.3. Payment in full of the purchase price and transfer fee shall be paid by the purchaser/ customer thru Western Union or Paypal.
5.4. Shipment or delivery will be made upon confirmation of payment.
Article 6 (Deliveries)
For Japan Customers:
6.1. Deliveries shall be made thru Sagawa Express, Yamato Transport, or Post Office.
6.2. In all instances, the delivery fee shall be paid by the customer/purchaser.
For Overseas Customers:
6.3. Deliveries shall be made thru DHL, EMS, or Pabitbit (for Philippine Customer only).
6.4. Customers/purchasers should be properly aware of possible delays caused by customs inspection. Import taxes and duties are to be paid by the customer/purchaser.
Article 7 (refund and return)
Products are sold based on a “no return no exchange policy”. While MAYA CHAN online SHOP has taken steps to ensure strict quality standards for the products sold on our website which were purchased only from reputable auction houses with the appropriate verification of the authenticity of the product, the said products are pre-owned or second hand which results in some form of flaw, defect, and reasonable use by the previous owner. MAYA CHAN online SHOP, however, recognizes that cases exist to warrant a relaxation of the restriction. Accordingly, products which have been shipped by us to the purchaser and have suffered injury or damage during delivery may be returned and replaced by MAYA CHAN online SHOP with an identical product or merchandise of the same or equal value. Likewise products which do not conform to the brand, model, or quantity as specified by the purchaser shall be returned to MAYA CHAN online SHOP to be likewise replaced by us with a product to conform to the brand, model, and quality chosen by the purchaser. This is in addition to and subject to other cases or details enumerated in a separate Terms of Service.
Article 8 (Exclusion of antisocial forces)
At the time of consenting to this agreement, the member expresses that he or she does not correspond to any of the following entities and/or organizations or associations, thus -
8.1. Gangster
8.2. Gang member
8.3. Gang affiliates
8.4. A person who has a social or economic relationship with any of those mentioned in subsections 7.1 to 7.4
In addition thereto, members affirm that they will not use any of the following prohibited acts by themselves or by using a third party, to wit –
8.5. Violent demand
8.6. Unreasonable demand acts beyond legal responsibility
8.7. Regarding transactions, using counterfeit accounts or using power to damage the credit of the other party or interfere with the business
8.8. Other acts analogous to the foregoing.
Should the member fall under any of the prohibited relationships in Articles 8.1 to 8.4, or correspond to any of the prohibited acts in Articles 8.5 to 8.8, or makes false declarations regarding representations and affirmations in registering for membership, all contracts with such member/s shall be cancelled and the membership of the offending member/s shall be revoked.
More importantly, please note that the above prohibitions and restrictions are in addition to and part and parcel of the prohibited practices and violations enumerated in the Terms of Service which is made part and parcel of this Sales Agreement.
Article 9 (Change of Terms)
MAYA CHAN online shop may, at its option and discretion, change or modify the terms and conditions of this Agreement (including the rules and regulations regarding this service posted on our website. If we change the Terms, the details of such changes shall be announced by posting the same on the MAYA CHAN website, and the changes will take effect from midnight the day after the announcement.
Article 10 (Jurisdiction)
If a dispute shall occur concerning the sale of a product or in the interpretation of the terms and conditions of this Agreement, depending on the amount of the complaint, such dispute shall be brought to the ___________ Summary Court or __________ District Court will shall exercise exclusive jurisdiction over the subject dispute to the exclusion of all courts and venues.
